Kinectic Terms of Use

Welcome to Kinectic ("Kinectic," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of our website, applications, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use Kinectic.

1. Eligibility

You may use Kinectic only if you are at least 16 years old, able to form a binding contract, and are not barred from using the Service under applicable law. We do not knowingly collect information from individuals under 16. If we become aware that a user under 16 has created an account, we may delete the account and associated data.

2. What Kinectic Does

Kinectic is a social sports coordination platform that helps people schedule and join sporting activities, currently focused on pickleball and tennis with plans to support additional sports. Features may include:

• Creating and joining games and events;
• Sending and receiving friend requests and connections;
• Messaging other users and sharing images; and
• Future features such as public events, clubs, and social posting.

Kinectic does not supervise or control events or users. We do not provide coaching, safety oversight, or equipment. You are solely responsible for your decisions and actions when using the Service or attending events.

3. Account Registration and Security

You agree to provide accurate, current, and complete information when you create your account and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. If you believe your account has been compromised, please notify us promptly.

4. Acceptable Use

You agree not to use Kinectic to:

• Violate any applicable law or regulation;
• Harass, threaten, abuse, or harm another person;
• Post or share content that is illegal, hateful, violent, explicit, or otherwise inappropriate;
• Impersonate another person or misrepresent your affiliation;
• Interfere with the security or operation of the Service, including attempting to hack, probe, or test vulnerabilities;
• Use bots, scrapers, or automated tools without our express permission; or
• Create fraudulent, misleading, or deceptive events or profiles.

5. User-Generated Content

You may submit content, such as profile information, event details, messages, images, and, in the future, posts, likes, and comments ("User-Generated Content" or "UGC"). You remain the owner of your UGC, but you grant Kinectic a non-exclusive, worldwide, royalty-free, sublicensable and transferable license to host, store, use, reproduce, modify, adapt, publish, display, and distribute your UGC in connection with operating, improving, and promoting the Service.

You are solely responsible for your UGC and represent that you have all necessary rights to post it. We may, but are not obligated to, review, remove, or limit access to UGC that we believe violates these Terms or applicable law.

6. Copyright and DMCA

If you believe content on Kinectic infringes your copyright, please contact us at info@knctc.com with a description of the work you believe has been infringed and the content in question. We will review and respond consistent with applicable copyright law.

7. Event Participation and Assumption of Risk

Participation in sports and physical activities involves inherent risks, including risk of injury or death. By using Kinectic and attending events coordinated through the Service, you acknowledge and agree that:

• You participate voluntarily and at your own risk;
• Kinectic does not organize, supervise, inspect, or control events or participants; and
• Kinectic is not responsible for any injuries, damages, disputes, or losses arising from or related to your participation in events or interactions with other users.

8. Location Information

Kinectic does not track or collect your real-time GPS location. The Service may use information such as your ZIP code or general area that you provide to help show relevant events or players. If real-time location features are introduced in the future, our Privacy Policy and these Terms will be updated accordingly.

9. Future Paid Features

Kinectic may introduce paid features, such as club memberships or premium tools, in the future. Any paid services will be clearly described, and additional or updated terms may apply at the time of purchase.

10. Third-Party Services

Kinectic may rely on or integrate with third-party services, such as hosting, databases, email providers, analytics, maps, CRMs, and marketing tools. Use of these services is subject to their own terms and privacy policies. We are not responsible for the content, policies, or practices of third-party services.

11. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using Kinectic, you consent to the collection and use of your information as described there.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or abusive behavior, or if we need to do so to protect Kinectic or our users. You may stop using the Service or delete your account at any time.

13. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of dealing. We do not guarantee that the Service will be uninterrupted, error-free, secure, or free from harmful components.

14. Limitation of Liability

To the fullest extent permitted by law, Kinectic and its owners, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of other users or third parties; or (c) unauthorized access, use, or alteration of your transmissions or content.

In no event shall our total liability for all claims relating to the Service exceed the amount you have paid to us, if any, in the twelve (12) months immediately preceding the event giving rise to the claim.

15. Arbitration and Class Action Waiver

To the extent permitted by law, you and Kinectic agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively by binding arbitration, rather than in court, except that either party may seek injunctive relief in a court of competent jurisdiction.

You agree that you may bring claims only in your individual capacity and not as a plaintiff or class member in any purported class or representative action. Unless we agree otherwise, the arbitrator may not consolidate more than one person's claims or preside over any form of a representative or class proceeding.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice within the Service or by other reasonable means. Your continued use of Kinectic after the effective date of the updated Terms constitutes your acceptance of the changes.
